Abstract
This thesis, "El nuevo paradigma legal de la responsabilidad penal de las personas jurídicas en México" (The New Legal Paradigm of Criminal Liability for Legal Persons in Mexico), examines the significant shift in Mexican criminal law, moving from the traditional principle societas delinquere non potest (a society cannot commit a crime) to recognizing that legal entities can indeed incur criminal liability. The study traces the historical evolution and theoretical underpinnings of this change, analyzing various theories of crime (Causalism, Finalism, Functionalism) and culpability, contrasting the traditional view that legal fictions lack the capacity for intent (dolo/culpa) with modern approaches like objective imputation and models based on organizational defects or transferred liability. It critiques the current Mexican legal framework, particularly Articles 11 bis of the Federal Penal Code and 421-422 of the National Code of Criminal Procedures, highlighting the lack of uniformity and clarity regarding imputation criteria, penalties, and the crucial role of "due organizational control". The central argument posits the urgent need to normatively regulate the implementation of effective internal control protocols (criminal compliance programs) as both a preventive measure and a potential basis for mitigating or excluding corporate criminal liability, thereby ensuring legal certainty and fostering a culture of corporate responsibility.
