Abstract
This thesis conducts a historical, comparative, and analytical examination of the principle of contractual good faith, arguing that its implicit and insufficient regulation within the Mexican Federal Civil Code creates significant legal uncertainty. The author traces the doctrine's origins from Roman law (bona fides) through its evolution in key European legal systems and its codification in international instruments like the UNIDROIT Principles. The work contends that Mexico's current legal framework fails to adequately address the pre-contractual, performance, and post-contractual duties that good faith entails, leaving parties vulnerable. Concluding that the present system is inadequate for modern commercial needs, the thesis proposes a specific legislative reform: the introduction of a new article to the Federal Civil Code that explicitly defines the principle, its scope, and its function, in order to provide greater legal certainty and align Mexican contract law with contemporary international standards.
